By accessing or using the website riwaqeljomla.com (the "Platform") and our marketing services (SEO, PPC, social media management, email marketing), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use our services.

These Terms apply to all clients: business owners, marketing managers, agencies, and any authorized user engaging RIWAQELJOMLA LLC for digital marketing services in the United States.

1. Description of Services

RIWAQELJOMLA LLC provides professional digital marketing solutions including but not limited to:

• Search Engine Optimization (SEO) – On-page, off-page, technical SEO.
• Pay-Per-Click Advertising (PPC) – Google Ads, Bing Ads, social media ads.
• Social Media Management – Content creation, posting, engagement, analytics.
• Email Marketing Campaigns – Automated workflows, newsletters, lead nurturing.
• Marketing Consulting & Strategy – Custom growth plans, competitor analysis, ROI tracking.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

2. Account Creation and User Responsibility

To access certain features, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You may create sub-accounts for your team members. You are solely responsible for managing permissions and any actions taken by those users.

3. Pricing and Payment Terms

We offer the following marketing plans (all prices in USD):

• Starter: $499/month or $4,999/year (Basic SEO, 5 keywords, 1 social channel, monthly report)
• Growth: $999/month or $9,999/year (Advanced SEO + PPC, 15 keywords, 3 social channels, weekly reports, dedicated account manager)
• Enterprise: Custom pricing (Full-service marketing, unlimited keywords, all channels, API integrations, priority support, strategy sessions)

Payments are processed online via credit card, ACH, or wire transfer. All subscriptions are prepaid and non-refundable unless otherwise required by applicable US law (e.g., certain state cooling-off periods).

For annual plans, we issue invoices with net-15 payment terms. Late payments may incur a 1.5% monthly interest charge. In case of non-payment, we may suspend services after a 10-day written notice. Data will be retained for 30 days after suspension before permanent deletion.

4. Acceptable Use and Prohibited Conduct

You agree not to use our Platform or services for:

• Illegal activities or violations of US federal, state, or local laws (including FTC guidelines on advertising).
• Transmitting malware, viruses, or any harmful code.
• Accessing or attempting to access other clients' data without authorization.
• Circumventing security measures or rate limits.
• Uploading content that infringes third-party intellectual property rights.

Violation may result in immediate suspension or termination of your account without refund.

5. Intellectual Property

All content on the Platform (texts, logos, dashboards, software, graphics, reports) is the exclusive property of RIWAQELJOMLA LLC or its licensors. You may not:

• Copy, modify, distribute, or create derivative works without written permission.
• Extract or reuse substantial parts of the Platform (e.g., using scraping tools).
• Reverse engineer any part of our proprietary marketing tools or dashboards.

Any deliverables created specifically for you (e.g., ad creatives, custom reports) are licensed to you upon full payment, but we retain the right to showcase them in our portfolio unless otherwise agreed.

6. Client Responsibilities and Data Accuracy

You are solely responsible for providing accurate information regarding your business, target audience, and marketing goals. RIWAQELJOMLA LLC is not liable for poor campaign performance resulting from inaccurate or incomplete information provided by you.

You must ensure you have all necessary rights, licenses, and consents for any content (images, videos, trademarks) you provide for use in marketing campaigns. We assume no liability for third-party claims arising from your content.

7. Limitation of Liability and Disclaimers

To the fullest extent permitted by US law (including Wyoming state law):

• RIWAQELJOMLA LLC makes no guarantee of specific results (e.g., #1 rankings, exact ROI, conversion numbers). Marketing outcomes depend on many factors beyond our control (competition, algorithm changes, market conditions).
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
• Our total liability, regardless of the legal theory, is limited to the total amount you paid us in the 12 months preceding the claim.
• We do not warrant that services will be uninterrupted, error-free, or completely secure. We use commercially reasonable efforts to maintain uptime but are not responsible for third-party platform outages (Google, Facebook, hosting providers).
• Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control (cyberattacks, natural disasters, government actions, internet disruptions).

8. Termination

You may terminate your subscription at any time from your account dashboard or by emailing legal@riwaqeljomla.com. No partial refunds will be issued for the remaining period of a monthly or annual plan.

We may suspend or terminate your account immediately if you violate these Terms, fail to pay amounts due, or if your use poses a security risk to us or third parties.

Upon termination, you lose access to your data. We may retain certain information as required by US tax or record-keeping laws (typically 7 years).

9. Data Privacy and Confidentiality

Our Privacy Policy explains how we collect, use, and protect your personal information. By using our services, you consent to such processing and warrant that all data you provide is accurate.

Both parties agree to keep confidential any non-public business information disclosed during the engagement (e.g., strategies, client lists, financial data). This confidentiality obligation survives termination for 3 years.

10. Modifications to Terms

We may update these Terms from time to time. The latest version will be posted on this page with a revised "Last Updated" date. Material changes will be notified via email or a website notice at least 15 days before they take effect. Your continued use of the service after the effective date constitutes acceptance.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), held in Sheridan County, Wyoming. Each party shall bear its own arbitration costs. Notwithstanding the foregoing, either party may seek injunctive relief in state or federal courts located in Sheridan County, Wyoming, to protect its intellectual property or confidential information.

CLASS ACTION WAIVER: All disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

12. Entire Agreement

These Terms, together with our Privacy Policy and any executed Statement of Work (SOW) or insertion order, constitute the entire agreement between you and RIWAQELJOMLA LLC regarding our services and supersede all prior agreements.
